海外の店舗物件

海外のフランチャイズ契約においてはほぼ１００％、フランチャイズ契約を締結する時にすでに「店舗物件」が決まっています。よってＦＣ契約書にもその物件の所在地を記入して特定するということをやります。

そしてこれは契約締結後に店舗を増やすときはその都度、FC契約を締結するようにすることをお勧めします。

というのは店舗ごとにフランチャイズ契約の諸条件を変更したくなるケースが多いですし、途中である特定の店舗を閉店したりすることがあるため柔軟に対応できるようにしておいた方が便利だからです。

また、「ネット販売を認めるか否か？」も国内のフランチャイズ契約と比べて大きなポイントになることが多いので、明確に規定しておきましょう。

また、物件探し以外にも加盟店はやることがたくさんあります。例えば、

・資金調達
・人材雇用
・店舗オープン前研修の受講
・什器等の調達
・保険契約
・役所への許認可申請／届出

などなど挙げれば切がありません。

そして加盟店の中にはFC契約を締結しても様々な理由で「いつまで経っても店舗がオープンできていない！」という状況が生じることがあるのです。

よって、FC本部としては、「FC契約締結後●●以内に加盟店が店舗をオープンできなければ本契約を直ちに解除できる。」という規定をすることがあります。特に加盟店の営業テリトリーなどを決めている場合は、いつまで経ってもその地域で加盟店が営業を開始できないようですと大きな損失となりますので、このように期限を設定することは重要なポイントになります。

◆店舗のオープンの期限の例文◆

Article ●. Requirements for Opening o Shop

Franchisee shall notify Franchisor of the opening date of Shop immediately after it is decided prior to the opening thereof. Franchisee shall open Shop within two (2) years on and after the date of execution of this Agreement and Franchisor may terminate this Agreement in case that Franchisee fails to open Shop pursuant to the aforesaid manner.

Franchisee shall, prior to the opening of Shop, complete all necessary application to related authorities pursuant to the laws and regulations in Hong Kong and obtain any and all necessary license and approval for the opening of Shop therefrom.  Further, Franchisee shall have its manager and staff who will work at Shop obtain necessary qualifications, if any, prior to their commencement of working at Shop.
