禁止・遵守事項

例えば、「加盟店はFC本部のスタッフの引き抜きを行ってはならない！」などの禁止事項を徹底させたいとFC本部は考えます。他にも色々とあると思いますが、思いつく限りの「禁止事項／遵守事項」を全て英文フランチャイズ契約書に規定してしまうことをお勧めします。

精神論的なものも含めて一つ残らず列記してしまうことがポイントです。ご参考までに
もう少し例をあげておきますね。

×FC本部から指定されたレシピの内容を変更してはならない
×FC本部のブランドを棄損するような行為をしてはならない
×店舗の設置場所を勝手に移動してはならない
×顧客の個人情報を漏えいしてはならない
×FC本部から指定されたユニフォームは必ず着用する
×営業時間中は、名札を必ずつける

条文例

Article ●. Prohibited Matter

1. Franchisee shall not provide Services which do not follow the standard,
quality, policy and concept of FC at Shop.

2.      Franchisee shall provide Services only at Shop and shall not do so at
   the shops or places other than Shop specified herein without prior
   written consent from Franchisor.

3. Franchisee shall not change the name of Shop, menus, taste of products,
music which are to be used at Shop or in connection with Services without
prior written consent from Franchisor.

4. Franchisee shall not offer any excessive latte art which does not comply
with the standard, quality, policy and concept of FC.

5. Franchisee shall not make coffees in accordance with any recipes other than
the one based on the standard, quality, policy and concept of FC without prior
written consent from Franchisor.

6. Franchisee shall not change roasting profiles or create new one without prior
written consent from Franchisor.

7. Franchisee shall not, without prior written consent from Franchisor, sublicense
the right and obligation of Franchisee of FC to any third parties and not
construct and operate franchise chain which is identical or similar to FC.

8. Franchisee shall not break the ordinance and offend public order and morals.

9. Franchisee shall not solicit or recruit any staff members of Franchisor or other
franchisees belonging to FC without prior written consent from Franchisor.

10. Franchisee shall not ignore the policy and standard of FC and not spoil the
brand and credibility of FC.

11. Franchisee shall not disclose the personal information of Customers to
the public.

　　　　方針、コンセプトに基づいたレシピ以外の方法に従ってコーヒーを入れては
　　　　ならない。

　　6. Franchiseeは、事前のFranchisorの書面による承諾なしに、
roasting profiles（＝焙煎方法：例、生豆の投入温度、投入重量、火力、
　　　　各Phaseの時間、終了時の温度等）を変更しまたは新たに作成してはならない。

　　7. Franchiseeは、事前のFranchisorの書面による承諾なしに、FCのFranchiseeの
　　　　権利／義務を第三者にサブライセンスし、またFCと同一／類似のフランチャイズ
　　　　チェーンを構築してはならない。

　　8. Franchiseeは、公序良俗に違反してはならない。
